Terms of Business

Last updated: May 2026 · Aigentic is a trading name of Dale Taylor (sole trader), registered in England and Wales.

1. Definitions

"Aigentic", "we", "us" refers to Aigentic, the trading name of Dale Taylor. "Client", "you" refers to the business or individual engaging Aigentic's services. "Services" refers to AI automation consultancy, workflow development, and related work as described in a Statement of Work or project proposal.

2. Engagement

All engagements begin with a written proposal or Statement of Work (SOW) outlining scope, deliverables, timeline, and fixed price. Work commences only upon written acceptance of the SOW and receipt of the deposit payment.

3. Payment terms

  • A 50% deposit is required before work begins.
  • The remaining 50% is due upon delivery of the agreed deliverables.
  • Ongoing retainers are billed monthly in advance.
  • Invoices are payable within 14 days of issue.
  • Late payments may incur interest at 8% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts Act 1998.

4. Scope and changes

The fixed price covers the scope defined in the SOW. Any changes to scope requested after sign-off will be quoted separately and agreed in writing before implementation. We will notify you promptly if any requested change is outside scope.

5. Intellectual property

Upon receipt of full payment, all custom workflows, automations, and code developed for your project become your property. You are free to modify, extend, or transfer them as you see fit.

Aigentic retains the right to use general knowledge, techniques, and non-confidential methodologies developed during the engagement in future projects.

6. Confidentiality

We treat all client information as confidential. We will not disclose your business data, processes, or commercially sensitive information to third parties without your written consent, except where required by law.

7. Warranties and liability

We warrant that work will be performed with reasonable skill and care. Automations are delivered as working systems within the scope defined; we cannot guarantee specific business outcomes (conversion rates, revenue increases, etc.) as these depend on factors outside our control.

Our total liability to you in connection with any project shall not exceed the total fees paid for that project. We are not liable for indirect, consequential, or special losses.

8. Client responsibilities

You agree to provide timely access to systems, data, and key contacts required for the project. Delays caused by unavailability of client-side resources may affect delivery timelines and are not the responsibility of Aigentic.

9. Termination

Either party may terminate an engagement with 14 days' written notice. If you terminate after work has begun, you remain liable for work completed to date. The deposit is non-refundable once work has commenced.

Ongoing retainers may be cancelled at any time; the cancellation takes effect at the end of the current billing period.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
